马斯克放弃收购推特

北京时间7月9日凌晨消息，马斯克就收购美国社交媒体公司推特递交修订版13D文件，宣布终止并购推特的协议，因为推特已经违反了合并协议的多项条款，包括没有向马斯克提供他要求的相关商业信息，推特美股盘后崩跌7%。

推特董事会主席布雷特·泰勒表示，公司仍致力于以商定的价格完成交易，并计划采取法律行动来执行该协议。

周四早些时候，推特举行了一次线上记者会，解释该公司如何确定其平台上的哪些账户是机器人账号或垃圾账号。该公司表示，受过培训的员工使用内部数据和信号得出的数字是，在其每季度的可变现每日活跃用户（mDAU）中，只有不到5%是垃圾账号。

如果马斯克放弃这项交易，那么他可能无法只支付10亿美元的“分手费”就能退出，因为推特可能会声称他退出的原因与其核心业务无关，并试图让马斯克遵守最初的条款。

Brett Taylor, chairman of Twitter’s board, said the company remained committed to completing the deal at an agreed price and planned to take legal action to implement the agreement.

Earlier Thursday, Twitter held an online press conference to explain how the company determines which accounts on its platform are robot accounts or spam accounts. The company says trained employees use internal data and signals to figure out that less than 5 per cent of its quarterly realizable daily active users (mDAU) are spam accounts.

If Mr Musk abandons the deal, he may not be able to quit simply by paying a “break-up fee” of $1 billion, as Twitter may claim that the reason for his withdrawal has nothing to do with his core business and try to get Mr Musk to abide by the original terms.
